The specific services, deliverables, timelines, and pricing for your engagement will be described in your proposal, order form, invoice, service agreement, onboarding documentation, or written communication with Agency SEO.

2. Eligibility

Our website and services are intended for business users who are at least 18 years old. By using our website or services, you represent that you have authority to act on behalf of yourself, your agency, or the business entity you represent.

  • Respond to inquiries and support requests
  • Schedule consultations or onboarding calls
  • Create proposals, reports, and campaign deliverables
  • Manage SEO, GEO, PPC, paid social, and related marketing campaigns
  • Process payments and manage billing

  • Monitor website performance and security
  • Comply with legal, tax, accounting, and contractual obligations

3. White-Label Relationship

Agency SEO may provide services on a white-label basis, meaning our work may be delivered under your agency’s brand or presented by you to your clients.

Unless otherwise agreed in writing:

  • Remember user preferences
  • Measure website traffic
  • Analyze page performance
  • Understand how visitors interact with our site
  • Retarget or advertise to visitors on third-party platforms
  • You are responsible for managing the relationship with your clients.
  • You are responsible for client communication, pricing, approvals, and expectations.
  • Agency SEO is not responsible for promises, guarantees, or representations you make to your clients.
  • You must have the necessary permissions to share client websites, accounts, analytics, advertising data, content, and other materials with us.
  • Agency SEO will not contact your clients directly unless you authorize us to do so.

4. No Guaranteed Results

Digital marketing results depend on many factors outside our control, including search engine algorithms, AI platform behavior, advertising competition, client budgets, website quality, market demand, business reputation, content quality, platform policies, and actions taken by third parties.

Agency SEO does not guarantee:

  • Specific rankings
  • Specific traffic levels
  • Specific lead volume
  • Specific revenue outcomes
  • Approval by advertising platforms
  • Inclusion in AI-generated answers or search features
  • A particular return on ad spend
  • A particular timeframe for results
  • Specific rankings

We use commercially reasonable efforts to provide professional services, but all performance estimates, forecasts, projections, or examples are for informational purposes only.

5. Client Responsibilities

To allow us to perform services effectively, you agree to provide timely access, information, approvals, and cooperation. This may include:

  • Website access
  • CMS or hosting access
  • Analytics access
  • Google Search Console access
  • Advertising account access
  • Brand assets
  • Client business information
  • Keywords, locations, offers, and target audience information
  • Review and approval of deliverables
  • Payment information
  • Website access

Delays in providing required access, feedback, approvals, or information may delay service delivery. Agency SEO is not responsible for delays, performance issues, or missed opportunities caused by incomplete, inaccurate, or late information from you or your clients.

6. Payments and Billing

Fees, billing schedules, payment methods, and due dates will be stated in your proposal, invoice, checkout page, or written agreement.

Unless otherwise stated:

  • Payments are due according to the invoice or agreed billing schedule.
  • Services may be billed monthly, upfront, or according to the applicable plan.
  • Month-to-month services renew automatically unless cancelled according to these Terms or your written agreement.
  • Late, failed, or disputed payments may result in paused work, delayed deliverables, suspension of services, or termination.
  • You are responsible for any applicable taxes, transaction fees, or payment processing fees unless otherwise stated.

7. Cancellation and Termination

Agency SEO’s website describes its plans as month-to-month with no long-term contracts. Unless a separate written agreement states otherwise, either party may cancel ongoing services by providing written notice before the next billing cycle.

Upon cancellation or termination:

  • Work will stop at the end of the active paid service period, unless otherwise agreed.
  • Amounts already paid are generally non-refundable unless required by law or expressly agreed in writing.
  • Any unpaid amounts remain due.
  • We may retain records, reports, and work files as needed for business, legal, accounting, or compliance purposes.
  • Access to dashboards, reports, tools, or shared workspaces may be removed.

Agency SEO may terminate or suspend services immediately if you violate these Terms, fail to pay, misuse our services, request unlawful activity, or engage in conduct that may harm Agency SEO, its team, vendors, partners, or reputation.

8. Refunds

Unless otherwise stated in a written agreement, payments for services are non-refundable once work has started, resources have been allocated, or the relevant billing period has begun.

Refund requests may be reviewed at our sole discretion. Approval of one refund does not create an obligation to issue future refunds.

9. Revisions and Approvals

Some deliverables may include a defined number of revisions, as stated in your proposal or service plan. If no revision terms are stated, revisions are provided at Agency SEO’s discretion.

You are responsible for reviewing deliverables and requesting changes in a timely manner. Once deliverables are approved, published, submitted, or used, they will be considered accepted.

Additional revisions, strategy changes, rework, rush requests, or out-of-scope tasks may require additional fees.

  • Request access to the personal information we hold about you

10. Intellectual Property

Unless otherwise agreed in writing and subject to full payment:

  • Final approved deliverables created specifically for your campaign may be used by you or your clients for business purposes.
  • Agency SEO retains ownership of its pre-existing materials, processes, systems, templates, tools, frameworks, know-how, internal documentation, and methods.
  • We may reuse general knowledge, skills, ideas, processes, and non-confidential techniques developed or used during service delivery.
  • Drafts, unused concepts, internal notes, strategy documents, and working files remain the property of Agency SEO unless otherwise agreed.

You may not copy, resell, distribute, reverse engineer, or misuse Agency SEO’s proprietary systems, processes, templates, reports, or materials except as permitted by your service agreement.

11. Content, Claims, and Compliance

You are responsible for ensuring that all information, claims, offers, pricing, testimonials, business details, and content provided to Agency SEO are accurate, lawful, and authorized.

You agree not to provide content or instructions that:

  • Violate any law or regulation
  • Infringe intellectual property rights
  • Include false, misleading, or deceptive claims
  • Promote unlawful products or services
  • Violate advertising platform policies
  • Contain harmful code or malware
  • Involve spam, fraud, impersonation, or abusive activity

Agency SEO may refuse, pause, or remove work that we believe violates these Terms, platform policies, or applicable law.

12. Third-Party Platforms and Tools

Our services may involve third-party platforms such as search engines, AI platforms, analytics tools, advertising platforms, reporting tools, CMS platforms, hosting providers, and software vendors.

You understand that third-party platforms may change their algorithms, policies, pricing, access rules, features, or performance at any time. Agency SEO is not responsible for outages, policy changes, account suspensions, tracking errors, data loss, approval delays, or other issues caused by third-party platforms.

You are responsible for maintaining ownership, access, billing, and compliance for your own third-party accounts unless otherwise agreed in writing.

13. Advertising Accounts and Ad Spend

For PPC or paid social services, advertising spend is separate from Agency SEO’s management or fulfillment fees unless expressly stated otherwise.

You or your client are responsible for:

  • Funding advertising accounts
  • Approving budgets
  • Maintaining valid payment methods
  • Complying with platform policies
  • Reviewing campaign performance
  • Approving ads, landing pages, offers, and targeting

Agency SEO is not responsible for advertising charges, rejected ads, account suspensions, budget overspend caused by platform behavior, or platform policy enforcement decisions.

14. Confidentiality

Both parties may receive confidential information during the course of the business relationship. Confidential information may include business plans, pricing, client information, account access, campaign strategy, analytics data, trade secrets, and non-public materials.

Each party agrees to use reasonable care to protect confidential information and to use it only for the purpose of performing or receiving services.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

15. Privacy

Your use of our website and services is also governed by our Privacy Policy. Please review the Privacy Policy to understand how we collect, use, and protect information.

16. Website Use

You agree not to misuse our website, including by attempting to:

  • Interfere with website functionality
  • Access restricted systems without permission
  • Upload malicious code

We will not intentionally disclose confidential client information or identify your end client in public-facing materials without permission where required.

If you require stricter confidentiality, please request this in writing.

18. Disclaimer of Warranties

Our website and services are provided on an “as is” and “as available” basis, except as expressly stated in a written agreement.

To the fullest extent permitted by law, Agency SEO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, and specific business outcomes.

19. Limitation of Liability

To the fullest extent permitted by law, Agency SEO will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or loss of clients.

To the fullest extent permitted by law, Agency SEO’s total liability for any claim related to the website or services will not exceed the amount you paid to Agency SEO for the specific service giving rise to the claim during the three months before the event that caused the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless Agency SEO, its owners, team members, contractors, vendors, and partners from claims, damages, liabilities, losses, costs, and expenses arising from:
